  1.                   END USER LICENSE AGREEMENT
  2.  
  3. THIS IS A CONTRACT BETWEEN YOU AND ALWIL SOFTWARE (ALWIL), A
  4. PRAGUE, CZECH REPUBLIC CORPORATION. BY USING THIS SOFTWARE YOU
  5. ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
  6. If you do not agree with the terms and conditions of this
  7. Agreement, do not continue in install process and return this
  8. software to reseller where you obtained it.
  9.  
  10. This package contains software (Software) and related
  11. explanatory written materials (Documentation). The term
  12. Software shall also include any upgrades, notified versions,
  13. updates, additions and copies of the Software licensed to you
  14. by Alwil. Alwil grants to you a non-exclusive license to use
  15. the Software and Documentation, provided that you agree the
  16. following:

  18. 1) Use of the Software.
  19. You may:
  20. Install the Software in a single location on a hard disk or
  21. other storage device of up to the number of computers
  22. indicated in the license agreement.
  23. Provided the Software is configured for network use, install
  24. and use the Software on a single file server for use on a
  25. single local area network for either (but not both) of the
  26. following purposes;
  27.  
  28. (1) permanent installation onto a hard disk or other storage
  29.   device of up to the permitted number of computers, or
  30. (2) use of the Software over such a network, provided the
  31.   number of different computers on which the Software is used
  32.   does not exceed the permitted number of computers.
  33.  
  34. The primary user of each computer on which the Software is
  35. installed or used may also install the Software on one home or
  36. portable computer. However, the Software may not be used on
  37. the secondary computer by another person at the same time the
  38. Software on the primacy computer is being used.
  39. Make one backup copy of the Software, provided your backup
  40. copy is not installed or used on any computer.
  41.  
  42. 2) Copyright.
  43. The Software is the intellectual property of Alwil Software
  44. and is protected by U.S./Czech Republic copyright law,
  45. international treaty provisions, and applicable laws of the
  46. country in which is being used. The structure, organisation
  47. and code of the Software are the valuable trade secrets and
  48. confidential information of Alwil Software. Therefore you must
  49. treat the Software just as you would any other copyrighted
  50. material such as a book. In other words, you may not copy the
  51. Software or the Documentation except as set forth in the
  52. section 1 of this license agreement. Any copies that you are
  53. permitted to make pursuant to this Agreement must contain the
  54. same copyright and other proprietary notices which appear on
  55. or in the Software. You agree not to modify, adapt, translate,
  56. reserve engineer, de-compile, disassemble or otherwise attempt
  57. to discover the source of the Software. Trademark shall be
  58. used in accordance with accepted trademark practice, including
  59. identification of trademark ownerÆs name.
  60. Trademarks can only be used to identify printed output
  61. produced by the Software. The use of any trademark as herein
  62. authorised does not give you any rights of ownership in that
  63. trademark. Except as stated above, this Agreement does not
  64. grant you any rights to intellectual property rights in this
  65. Software.
  66. Requests for information can be directed to Software
  67. Development, Alwil Software, Lipi 1244, Prague 9 - Horni
  68. Pocernice, Czech Republic.

  70. 3)  Transfer
  71. You may not rent, lease, sub-license, or lend the Software or
  72. Documentation. You may, however, transfer all your rights to
  73. use the Software to another person or legal entity, provided
  74. that you transfer this Agreement and transfer (or destroy),
  75. the Software, including all copies, updates and prior
  76. versions, and all Documentation to such person or entity and
  77. provided that you retain no copies, including copies stored on
  78. your computer.

  80. 4) Limited Warranty
  81. Alwil warrants to you that the Software will perform
  82. substantially in accordance with the Documentation for 90 day
  83. period following your receipt of the Software. To make a
  84. warranty claim, you must return the Software to the location
  85. where you obtained it along with a copy of your sales receipt
  86. within 30 day period. If the Software does not perform
  87. substantially in accordance with the Documentation, the entire
  88. and exclusive liability of Alwil and its distributors, and
  89. your exclusive remedy shall be limited to either, at AlwilÆs
  90. option, the replacement of the Software or the refund of the
  91. license fee you paid for the Software.

  93. ALWIL AND ITS DISTRIBUTORS DO NOT AND CANNOT WARRANT THE
  94. PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR
  95. DOCUMENTATION. THE FOREGOING STATES THE SOLE AND EXCLUSIVE
  96. REMEDIES FOR ALWILÆS OR ITS DISTRIBUTORÆS BREACH OF WARRANTY.
  97. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, ALWIL AND ITS
  98. DISTRIBUTORS MAKE NO WARRANTIES OR CONDITIONS, EXPRESS OR
  99. IMPLIED, AS TO NONINFRINGEMENT OFTHIRD PARTY RIGHTS,
  100. MERCHANTABILITY, SUITABLE QUALITY OR FITNESS FOR ANY
  101. PARTICULAR PURPOSE. IN NO EVENT WILL ALWIL OR ITS DISTRIBUTORS
  102. BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL
  103. DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF
  104. AN ALWIL REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF
  105. SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

  107. 5) Governing Law and General Provisions
  108. This Agreement will be governed by the laws in the force in
  109. the country within the European Union or Switzerland, Austria,
  110. Sweden, Norway or Finland in which you are located at the
  111. moment of entering into this Agreement. If you are located
  112. outside the European Union or Switzerland, Austria, Sweden,
  113. Norway or Finland the laws of Czech Republic shall govern this
  114. Agreement.
